Sample text. This page shows the structure of the SoundEX.ai Distribution Agreement while the final text is prepared. Nothing below is binding. Items in square brackets will be set in the final agreement.
1. Parties
This agreement is between EM-Muzic Ltd ("SoundEX.ai", "we", "us") and the artist or rights holder who submits a release through the Platform ("you").
It sits alongside our Terms of Service and Privacy Policy. Where this agreement and the Terms of Service differ on distribution, this agreement applies.
2. What this agreement covers
This agreement covers each release you submit for distribution through the Platform after you accept it. Every release is its own engagement, with its own term.
It does not cover:
- releases delivered to us before this agreement existed, which remain under the agreement you signed at the time until you move them across under a separate repertoire transfer agreement;
- releases created through a project on the Platform, such as a collaboration match, the artist and professional marketplace, or a crowdfunding campaign, which follow the terms of that project. [Term for project releases to be set in the final agreement.]
3. Your rights and your promises
You keep ownership of your recordings, artwork and lyrics. You grant us a non-exclusive, worldwide licence to deliver them to digital stores and to collect the revenue they earn, for as long as this agreement runs for that release.
You confirm that you own, or have every right needed to distribute, everything you submit.
4. Term
Standard distribution runs for five (5) years from the release date of each release.
At the end of that period the release renews automatically for another period of the same length, unless you or we give notice under section 5.
5. Ending or not renewing a release
Either of us may end a release at the end of its current term, or choose not to renew it, by giving written notice no earlier than sixty (60) days and no later than fifteen (15) days before the end of that term.
- Notice is given per release. To end your whole catalogue with us, give notice for each release; each one ends on its own date.
- Notice outside that window takes effect at the end of the following term.
- Notice is given from your account on the Platform or by writing to sound@soundex.ai.
6. Removal from stores
When a release ends, we ask each digital store to remove it. Each store removes content on its own timeline, which we do not control.
7. Revenue, fees and payment

Revenue a release earned while it was distributed with us is reported and paid to you under this agreement, including revenue that reaches us after the release has ended.
8. Your account
While any of your releases is distributed with us, your account is what keeps your revenue reaching you, so it stays open until the last of those releases has ended.
